Engro Corp agrees to sell over 56% EPCL stake
Lotte Chemical Pakistan Limited has entered into a share purchase agreement with Engro Corporation Limited for the acquisition of its entire shareholding in Engro Polymer & Chemicals Limited (EPCL), involving approximately 56.19% of EPCL’s issued and paid-up ordinary share capital.
The transaction, disclosed separately by Engro Holdings Limited, Lotte Chemical Pakistan Limited and EPCL to the Pakistan Stock Exchange (PSX) on Tuesday, carries an aggregate value of Rs19.7 billion, equivalent to Rs38.6 per share.
Engro Corp, a wholly owned subsidiary of Engro Holdings, is the seller in the transaction, while Lotte Chemical Pakistan is the acquirer.
The transaction follows the parties’ earlier disclosures dated March 13, 2026, and is aimed at transferring Engro Corp’s entire stake in EPCL to Lotte Chemical Pakistan.
According to the filings, completion of the transaction remains subject to the fulfilment of conditions agreed under the share purchase agreement, including receipt of corporate and regulatory approvals and applicable consents.

Engro exits EPCL after three decades, sells stake to Lotte Chemical Pakistan for $71mn
Engro Holdings Limited’s wholly-owned subsidiary, Engro Corporation Limited, has entered into a Share Purchase Agreement (SPA) with Lotte Chemical Pakistan Limited for the sale and transfer of its entire shareholding in Engro Polymer & Chemicals Limited (EPCL).
The sale represents approximately 56.19% of EPCL’s issued and paid-up ordinary share capital, for a consideration of approximately Rs19.7 billion, i.e. approx. $70.95 million, subject to the completion of regulatory approvals and other customary conditions, read a statement.

Lotte Chemical Pakistan eyes Rs40bn capital, Noventra name
Lotte Chemical Pakistan Limited (PSX: LOTCHEM) plans to increase its authorized share capital from Rs20bn to Rs40bn, subject to approval from the company’s members.
The Board of Directors, through a circular resolution dated August 28, 2026, approved the increase, which will raise the authorized ordinary shares from 2bn to 4bn, with a face value of Rs10 each.
The Board also approved, subject to requisite approvals, changing the company’s name from Lotte Chemical Pakistan Limited to Noventra Limited.
The proposed changes require amendments to the Memorandum and Articles of Association and approval of members through a special resolution in accordance with Sections 85 and 12 of the Companies Act, 2017.
The company will convene an Extraordinary General Meeting (EOGM) on September 22, 2026, while the Share Transfer Books will remain closed from September 15 to September 22, 2026, both days inclusive.
